The vision

A low-density agricultural and residential community with minimal environmental impact.

The vision for Opihihali encompasses a 324-acre agricultural and residential community and a 15-acre lodging area with amenities for eco and ag enthusiasts. The community will offer expansive 5-acre-plus homesites and a limited number of lodge units, the Ocean Villas.

Central to its commitment is the preservation and protection of archeological sites and access for native Hawaiians and cultural practitioners, underscored by sustainability through the adoption of renewable technologies and best practices. A conservation zone will be maintained along the site's nearly 3,000 feet of Pacific coastline.

The community's agricultural operation will be professionally and centrally managed by a co-op from which homeowners benefit.

The offering

This is an investment offering in a real estate investment fund, The Kona Estates Fund II, LLC. Pledges are being taken now and funds are due on a rolling close.

Investors purchase Class-B interests in the primary round and participate in the project alongside the sponsor and developer, Kona Development Partners, LLC. Class-B interests have a target equity multiple of 3x over the investment period.

This investment represents ownership in The Kona Estates at Opihihali in its entirety. The offering is limited to $20MM for a 40% equity position; the minimum investment is $100K.

  • Backed by free-and-clear real estate from day one

    The acquisition of the 324 acres of oceanfront property has already been completed using private equity funds raised in Fund I.

  • No leverage for infrastructure or acquisition

    The Manager has been patient in its pursuit of this project, tactful in structuring the offer, and successful in negotiating favorable acquisition terms. As a result, the Manager does not anticipate needing senior debt to finance the infrastructure or complete the acquisition.

  • No fees taken by the sponsor

    The Manager will not charge any acquisition, disposition, asset or fund management, financing, property management, or construction management fees. The Manager will not begin receiving its pro-rata share of distributions until 100% of investors' initial capital investment has been returned.

  • No dependence on debt or a large-scale exit event

    The Fund will not depend on large-scale senior debt to complete acquisition, large-scale refinance debt during the investment cycle, or a large institutional purchase event to exit. Infrastructure, acquisition, and amenities will be completed through this offering and a future offering of reserved equity that will not dilute first-round investors.

  • Rolling exit and deal flexibility

    Distributable cash is created, and the deal is exited over the investment cycle, with each single-family residence or estate homesite sale. The Manager can control the pace of the project, guard against temporary downturns, and take advantage of market surges.

Overview

Within The Kona Estates at Opihihali is a proposed 15-acre, 40-villa luxury lodge and clubhouse with amenities. The lodge will host prospective residents during real estate sales, be available to Kona Estates residents without restriction, and enhance the overall community experience.

The community is expected to be configured as estate and agriculture homesites with two- to four-bedroom Estate Villas or four- to six-bedroom Grand Estate Homes, plus amenities for residents and guests.

Elevated 1,250 feet above sea level and descending to the coastline for over a mile, the land gives unobstructed 180-degree views from every estate homesite.

The site

The Kona Estates at Opihihali is along the South Kona Coast. The property is elevated at the rear (east) and slopes continuously down to the coastline for over a mile, allowing uninterrupted ocean views from every homesite. It is about 20 to 30 minutes from the more densely populated resort areas of Kona.

Natural features

The 324-acre site is over 6,000 feet from east to west (more than a mile) and over 2,000 feet from north to south (nearly half a mile). It includes a natural lava arch into the ocean, unexplored ocean caves, and spectacular geological formations, many of which are a part of ancient Hawaiian history.

Opihihali and the South Kona Coast

The heart of Kona coffee country, with little hustle and bustle, minutes from sandy beaches.

Opihihali is a short drive from Captain Cook and Central Kona. Nearby activities include golf, parasailing, surfing, fishing, whale watching, swimming with dolphins, windsurfing, and snorkeling. Kailua-Kona to the north offers deep-sea fishing, sunset cruises, submarine excursions, and shopping, dining, and entertainment. The warm water and lack of currents make the coast particularly good for swimming.

Historical sites nearby include the grounds of King Kamehameha's temple, the Mokuaikaua Church (built in 1830), and the town of Captain Cook and his monument.

Getting there

There are 8 to 12 nonstop daily flights from LAX and SFO to KOA depending on the season, on United, American, Alaska, Delta, and Hawaiian. Additional nonstop domestic routes run from Anchorage, Bellingham, Dallas, Denver, Oakland, Phoenix, Portland, San Diego, San Jose, Seattle, and Vancouver, with international arrivals from the South Pacific and three nonstop flights from Tokyo per day. Shuttle services, private car hire, rental cars, and helicopter charters will be available at the onsite concierge desk.

  1. 2018–2019

    Initial feasibility review

    The principals researched the property and engaged with the representatives of the selling entities. Following an intensive feasibility study and due diligence, an LOI to purchase was executed. The principals hired a land planning consultant, engineering firm, and archeological experts, among the first members of the on-island development team.

    With favorable outcomes on all reports, the principals executed a PSA with each of the two selling entities in 2019. The team expanded to include surveyors, biologists, an archeologist, and a community relations director. The management entity and The Kona Estates Fund I, LLC were created and obtained a Form D from the SEC in Q4 2019. Fund I began its A-Class equity offering thereafter.

  2. 2020–2021

    Acquisition completed through COVID

    North American private equity deal volume fell by nearly half from Q2 2019 to Q2 2020. Although this slowed initial fundraising and extended the project time horizon, the leverage-free structure allowed consistent progress while many debt-laden projects stalled.

    In Q4 2021 the acquisition of the 324-acre site was fully completed, nearly one year ahead of contract terms. The site is owned free and clear and deeded in the name of The Kona Estates Fund I and The Kona Estates Fund II. Conceptual architectural designs of the Ocean Villas, Estate Homes, and Grand Ocean Estates were also completed.

  3. 2022–2023

    Site work

    The Kona Estates Fund I, LLC A-Class offering was fully funded and closed. Kona Estates Fund II, LLC then obtained its SEC Form D for a second offering of B-Class equity. Grubbing and grading permits were approved for the project entryway, access roads, staging areas, parking, and storage. Site work began in February 2022.

    These improvements gave engineers, archaeologists, cultural monitors, geotechnical crews, biologists, botanists, and other professionals access to the property to complete studies related to the project.

  4. 2024–2026

    EIS and entitlements

    Ongoing technical, cultural, and civil engineering work supports the final entitlement process. An extensive collection of reports and studies has been commissioned and provided to the Environmental Impact Study (EIS) contractor for a comprehensive review.

    This phase advances civil engineering and master planning, including homesite placement, private driveway alignments connecting to the primary spine road, and refinement of grading transitions for constructability and regulatory compliance. Equity fundraising has continued, with the B-Class offering nearing its closing stages.

Does the property have water?

A private water system will be constructed onsite, sourced by private water wells and using an advanced reverse osmosis system and water storage facility. Distribution infrastructure will deliver potable water to each dwelling, common area, and agricultural site. This system type is common within private communities along the Kona and Kohala Coast.

The property sits atop the 242-square-mile Kaapuna Aquifer System. The daily flow rate beneath the site is estimated to be 10 times greater than the maximum estimated water demand of the community as proposed.

Does the property have city sewer?

No. Dwellings within the agricultural community will use aerobic wastewater systems (septic). The lodge will be serviced by an advanced, ultra-efficient wastewater treatment plant, privately maintained and monitored by a licensed contractor.

Does the property have electricity?

Electricity is available at the road frontage and will be distributed underground throughout the community. Dwellings are expected to use solar to reduce or offset dependency on conventional electricity.

Is the project entitled?

The project and current opportunity stage is pre-entitlement. The development team is completing the final reports and studies required for an Environmental Impact Study, after which efforts will move to the entitlement application process.

What lava flow zone is the property in, and is insurance available?

Zone 2. The USGS generally describes Zone 2 as 15 to 25% of the area having been affected by some degree of lava flow over the past 225 years. Historically, Mauna Loa lava flows that have reached the coast have come at 100-plus-year intervals on average, with some intervals exceeding 400 years. Every Hawaiian island is built of lava flows from various periods, and building on and in lava rock occurs on most major construction projects across the state.

Kilauea, on the east side of the island, is the world's most active volcano, but its eruptions do not directly affect the Kona Coast on the west side. Occasional vog (volcanic smog) has affected West Hawaii during periods of increased activity, though such occurrences have been rare in recent years. Air quality in areas like Captain Cook is generally excellent and can be verified daily via weather apps.

Homeowners insurance is available from state, national, and international providers, but premiums in Lava Zone 2 tend to be significantly higher than in lower-risk zones or on the mainland. The Hawaii Property Insurance Association (HPIA) continues to develop coverage options and remains a key resource.

What is the project's rate of progress, and where are the latest updates?

The originally targeted timeframe for project completion is expected to be achievable, although some mid-project timelines have been adjusted. Flexibility with timelines is common during the early stages of developing a community from the ground up, especially in Hawaii, where bureaucracy and environmental regulations are heightened.

The equity fund team in Beverly Hills and the development team in Hawaii advance the project every day. Physical work on site during pre-entitlement is intermittent, while technical, administrative, engineering, and environmental work continues daily. Partners who have completed an investment receive quarterly updates with detailed project information that is not publicly disclosed.

Why equity partners rather than conventional or institutional debt?

Flexibility in timelines is essential for a project at this scale and stage. A capital structure of like-minded accredited investors mitigates risks often associated with rigid amortization schedules. It also lets retail accredited investors participate fully in the project's potential upside and position themselves for future direct real estate acquisition within the development.

This offering provides a non-dilutive equity position alongside the developer. Once infrastructure construction is nearing completion and the project begins generating cash flow, conventional construction debt will be introduced to support vertical development.

Why use social media marketing to promote the offering?

The JOBS Act added the "c" designation to SEC Rule 506 under Regulation D, allowing fund managers to generally solicit accredited investors for offerings that have filed for the Form D exemption. Over the past decade, targeted advertising on social platforms has made it far more efficient to reach those investors.

The combination of Rule 506(c) and targeted digital advertising has allowed the equity fund divisions of The Rowland Companies to secure direct access to capital, keep greater operational control, offer non-dilutive equity positions, reduce or eliminate debt, and grow their database of accredited investors.
